Terms covering the use of the SwimClub Manager API and the handling of account data through integrations.

Responsible API use

These terms cover credentials, permitted use, data handling, rate limits and service protections.

These API Terms and Conditions (“Terms”) govern the use of the Application Programming Interface (“API”) provided by BPS Designs Ltd (“we,” “us,” or “our”), a company registered in England and Wales with company number 05360014 and registered office at 2A Swordfish Business Park, Higgins Lane, L40 8JW. By accessing or using the SwimClub Manager API (“API”), you (“you,” “your,” or “Customer”) agree to be bound by these Terms. If you do not agree to these Terms, you must not use the API.

1. Definitions

1.1 API: The SwimClub Manager Application Programming Interface, including any associated software, tools, documentation, or services provided by us to enable access to data within your SwimClub Manager account.

1.2 Customer: The individual, organisation, or entity that has a valid SwimClub Manager account and is authorised to use the API.

1.3 Data: Any information, content, or materials accessed or retrieved through the API from your SwimClub Manager account.

1.4 Service: The SwimClub Manager platform and services provided by us, including the API.

2. Eligibility and Access

2.1 Eligibility: You must have an active SwimClub Manager account in good standing to access and use the API. The API is available only to customers who have subscribed to the SwimClub Manager service.

2.2 Access Credentials: We will provide you with API keys, tokens, or other credentials (“Credentials”) to access the API. You are responsible for maintaining the confidentiality of your Credentials and for all activities that occur under your account.

2.3 Non-Transferability: Credentials are non-transferable and may not be shared with third parties without our prior written consent.

3. License and Use of the API

3.1 Limited License: Subject to these Terms, we grant you a non-exclusive, non-transferable, revocable license to use the API solely for the purpose of accessing and managing Data within your SwimClub Manager account for your internal business purposes or as otherwise permitted by us in writing.

3.2 Permitted Use: You may use the API to:

  • Retrieve, process, and display Data from your SwimClub Manager account.
  • Develop applications or integrations that interact with the Service for your own use or for use by your authorized users.

3.3 Prohibited Use: You must not:

  • Use the API for any illegal, unauthorized, or unethical purpose.
  • Attempt to reverse-engineer, decompile, or disassemble the API or any part of the Service.
  • Use the API to access, retrieve, or process Data that does not belong to you or for which you do not have explicit authorization.
  • Share, sell, or distribute Data obtained through the API with third parties without our prior written consent.
  • Overload, disrupt, or interfere with the API or the Service, including through excessive requests or denial-of-service attacks.
  • Use the API in a way that violates applicable laws, including the UK Data Protection Act 2018 and UK GDPR.

3.4 Rate Limits: We may impose rate limits or usage quotas on API access to ensure fair use and system stability. You agree to comply with any such limits communicated to you.

4. Data Protection and Privacy

4.1 Compliance with Data Protection Laws: You agree to use the API in compliance with all applicable data protection laws, including the UK Data Protection Act 2018 and the UK GDPR. You are responsible for ensuring that your use of the API and any Data accessed complies with these laws.

4.2 Personal Data: If you process personal data (as defined under the UK GDPR) through the API, you must:

  • Ensure you have a lawful basis for processing such data.
  • Implement appropriate technical and organisational measures to protect the data.

4.3 Our Role: We act as a data processor with respect to personal data accessed via the API, and you act as the data controller. You are responsible for obtaining all necessary consents and authorisations for processing personal data.

5. Intellectual Property

5.1 Ownership: We retain all rights, title, and interest in the API, the Service, and all related intellectual property, including but not limited to software, documentation, and trademarks.

5.2 Customer Data: You retain ownership of the Data you access through the API. By using the API, you grant us a non-exclusive, worldwide, royalty-free license to use, process, and store your Data as necessary to provide the Service and fulfill our obligations under these Terms.

5.3 Feedback: Any feedback, suggestions, or improvements you provide regarding the API or Service may be used by us without restriction or obligation to compensate you.

6. Confidentiality

6.1 You agree to treat any non-public information provided by us, including API documentation and Credentials, as confidential and not to disclose it to third parties without our prior written consent.

7. Termination

7.1 Termination by You: You may stop using the API at any time by ceasing to access it and notifying us in writing.

7.2 Termination by Us: We may suspend or terminate your access to the API at our discretion if:

  • You breach these Terms.
  • Your SwimClub Manager account is suspended or terminated.
  • We reasonably believe your use of the API poses a security risk or violates applicable laws.
  • We discontinue the API or the Service.

7.3 Effect of Termination: Upon termination, you must immediately cease using the API and destroy or return any Credentials or confidential information in your possession.

8. Warranties and Disclaimers

8.1 As-Is Basis: The API is provided “as is” without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

8.2 No Guarantee of Availability: We do not guarantee that the API will be available at all times or free from errors or interruptions.

8.3 Your Responsibility: You are responsible for ensuring that your use of the API complies with these Terms and all applicable laws.

9. Limitation of Liability

9.1 To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or use, arising out of or in connection with your use of the API.

9.2 Our total liability for any claims arising under these Terms shall not exceed the fees paid by you for the Service in the twelve (12) months preceding the claim.

10. Indemnity

10.1 You agree to indemnify, defend, and hold harmless BPS Designs Ltd., its affiliates, officers, directors, and employees from any claims, damages, or losses arising from your use of the API, your breach of these Terms, or your violation of any applicable laws.

11. Governing Law and Jurisdiction

11.1 These Terms are governed by and construed in accordance with the laws of England and Wales.

11.2 Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Changes to These Terms

12.1 We may update these Terms from time to time. We will notify you of any material changes by posting the updated Terms on our website or through the Service. Your continued use of the API after such changes constitutes your acceptance of the revised Terms.

13. Miscellaneous

13.1 Entire Agreement: These Terms, together with any other agreements referenced herein (e.g., the SwimClub Manager Terms of Service ), constitute the entire agreement between you and us regarding the API.

13.2 Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13.3 No Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

13.4 Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms without restriction.
